# Grounds Pass Membership Agreement
**Padelground Forest Glen** · 12-month membership, prepaid
This agreement sets out the terms of your Grounds Pass membership at Padelground Forest Glen ACN: 693 619 224 ("Padelground", "we", "us"). It applies in addition to Padelground's general Terms & Conditions. Where this agreement and the general Terms & Conditions conflict on a matter specific to Grounds Pass, this agreement prevails.
## 1. What Grounds Pass Is
Grounds Pass is a 12-month membership. For a one-off payment of $395, you receive 12 months of Grounds Pass membership benefits, plus $395 of wallet credit loaded to your account to use on bookings and services at Padelground. There is no direct debit and no recurring automatic billing.
The Membership Fee is consideration for participation in the Grounds Pass Membership Program and associated Membership Benefits.
The allocated wallet credit forms only one component of the overall benefits received by the Member.
The Member acknowledges that the Membership Fee is not paid solely in exchange for wallet credit.
- **Joining payment** — $395.00, one-off, paid by card at signup. Covers 12 months of membership and includes $395 of wallet credit.
- **Term** — 12 months from your signup/access date.
- **Renewal** — $100 per year, optional. You choose whether to renew; it is not automatically charged.
- **Wallet credit** — $395 included credit. Stored value — does not expire (see clause 3).
## 2. Renewal & Lapse
Renewal is optional and member-initiated. To continue your Grounds Pass membership benefits beyond the 12-month term, you may renew for $100 per year. We will not automatically charge the renewal — you choose to renew. We may remind you when renewal is due.
Renewal fees do not include additional wallet credit unless expressly stated by Padelground at the time of renewal.
**If you do not renew.** Your Grounds Pass membership benefits (such as member pricing) pause or stop at the end of the term. However, any wallet credit you hold does not expire and remains available to use (see clause 3). You can renew later to reactivate membership benefits.
## 3. Your Wallet Credit (Stored Value)
The $395 wallet credit included with Grounds Pass is stored value. It does not expire, and remains available to spend on bookings and services for as long as your account is open — including after your membership term ends or if you do not renew. Wallet credit is non-transferable between players and is non-refundable to your original payment method except where required by the Australian Consumer Law.
The wallet credit is redeemable only at Padelground and is non-transferable, non-cash-out credit.
**No expiry, no account-keeping fees.** We do not expire your wallet credit and we do not charge account-keeping or balance fees against it. The $100 annual renewal is a membership-benefits fee; it is not a charge on, or a condition of keeping, your wallet credit.
**Wallet Credit Adjustments.** Padelground may correct any wallet balance resulting from:
(a) System error;
(b) Duplicate credit allocation;
(c) Payment reversal;
(d) Fraud; or
(e) Administrative mistake.
**Restrictions.** Padelground may suspend access to wallet credit where fraudulent conduct, unlawful conduct or misuse is reasonably suspected.
**Account Closure.** Wallet credit remains available while the Membership's account remains open, unless otherwise permitted by law or restricted under this Agreement.
If Padelground permanently ceases operating, any remaining wallet credit will be dealt with in accordance with applicable law and any rights the Member may have under the Australian Consumer Law.
## 4. Cooling-Off Period
You have a 7-day cooling-off period from the day you accept this agreement, during which you may cancel.
**Refund on cooling-off cancellation.** If you cancel within the cooling-off period, we refund your $395 joining payment, less the value of any bookings or services you have already used or redeemed against your wallet credit during that period. In other words, you are refunded for the unused portion. Any unused wallet credit is reversed with the refund.
After the cooling-off period, the membership continues for its 12-month term. The membership fee for the term is not refundable except where required by the Australian Consumer Law, but your wallet credit remains yours to use and does not expire (clause 3).
**Australian Consumer Law:** Nothing in this agreement excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot be lawfully excluded. This includes your rights where a service is not provided with due care and skill or is not fit for its stated purpose.
## 5. Cancellation
Grounds Pass is a prepaid 12-month membership. Outside the cooling-off period, the membership runs for its term; there is no recurring billing to cancel. You may stop using the membership at any time. Your wallet credit remains available to you and does not expire. We do not charge an early-termination fee for Grounds Pass.
Where you have a right to a refund under the Australian Consumer Law (for example, for a major failure by Padelground), that right is unaffected by this clause.
## 6. Memberships Are Personal
Memberships are personal to the Member and cannot be assigned, transferred or sold without Padelground's prior written consent.
## 7. Dispute Resolution
If you have a concern or dispute, please first raise it with the club so we can try to resolve it informally. If it cannot be resolved informally within a reasonable time, the parties agree to attempt mediation before commencing legal proceedings. Nothing in this clause prevents either party from seeking urgent relief, or limits your rights under the Australian Consumer Law.
## 8. Changes & General
**Changes.** We may update the general Terms & Conditions from time to time with reasonable notice. The core terms of your current Grounds Pass term (the benefits for which you have prepaid, and your wallet credit) will not be reduced for your current term except as required by law. We may change the renewal price for future renewals with reasonable notice.
**Governing law.** This agreement is governed by the laws of Queensland, Australia.
**Acceptance.** By ticking to accept this agreement and paying the $395 joining payment, you confirm you have read and agree to these terms, including that the $395 is a one-off payment for a 12-month membership including wallet credit, and that renewal is optional.
**Australian Consumer Law:** Nothing in this agreement excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot be lawfully excluded. This includes your rights where a service is not provided with due care and skill or is not fit for its stated purpose.
## 9. Entire Agreement
This Agreement, together with the Padelground Terms & Conditions and any incorporated policies, constitutes the entire agreement between the parties.
## 10. Document Priority
If there is an inconsistency between:
(a) This Agreement;
(b) Any Membership-specific policy; and
(c) The Padelground Terms and Conditions,
The documents prevail in that order.
## 11. Severability
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions continue in full force and effect.
## 12. Notices
Notices may be provided electronically to the email address nominated by the Member and are deemed received when transmitted.
## 13. Electronic Acceptance
The Member acknowledges and agrees that acceptance of this Agreement may occur electronically, including by tick-box acceptance, digital signature, click-wrap acceptance or any other electronic method approved by Padelground.
The Member agrees that electronic records maintained by Padelground may be relied upon as evidence of acceptance of this Agreement.
## Acceptance
This Agreement is accepted electronically. By ticking the acceptance box and completing your signup, you electronically accept this Agreement. Your name, membership tier, rate and start date are recorded automatically against your acceptance, together with the date and time it was given. No physical signature or handwritten details are required.
